Store Agreement

This Brand Store Agreement ("Agreement") is entered into between Riveara, ("we," "our," or "us"), and you, the individual or entity ("you" or "your"), in connection with your use of the Riveara platform ("Platform") and the creation and operation of a store on the Platform. By opening a store on Riveara, you agree to the terms and conditions outlined in this Agreement.

1. Store Operation

1.1 Store Creation: You may open a store on our Platform, subject to the terms and conditions of this Agreement. We handle and operate your store on your behalf. You are responsible for providing the artwork and designs for your merchandise. If we are responsible for creating the artwork and designs, then it becomes our responsibility.

1.2 Profit Sharing:

• Riveara Store plan: You will retain 85% of the profits generated through your store's sales.
• Riveara+ Store plan: With this plan, your profit sharing percentage will switch and increase as you earn more. 
  • You will keep 90% of profits when your store is generating up to $1,000/m in earnings. 
  • You will keep 92.5% of profits when your store is generating $1,000/m to $5,000/m in earnings.
  • You will keep 95% of profits when your store is generating from $5,000/m+ in earnings.
  • For clarification, "earnings" represent the net profit of the store up to $1,000/m. 
  • For clarification, if you are to get an increase in profit percetange from your store performing well, that percentage will be apply to all earnings, not just the range in which your store is generating. For example, if you were earning 90% of profits because your store was generating up to $1,000/m in earnings and then it started generating $1,000/m to $5,000/m in earnings which would make your profit percentage increase to 92.5%, you will get that 92.5% profit percentage on all earnings.

1.3 Store Packages:

• Riveara Store: Free plan with unlimited products.
• Riveara+ Store: $10 per month with additional benefits and features, including priority support, design assistance, launch and marketing advice, first access to new products, custom sourced products, and more.

1.4 Payouts:

• • All Riveara stores will be paid out by or on the 1st of each month for the previous month of orders. For example, orders you recieve in May will be paid out on June 1st.

1.5 Collaboration and Store Removal:

• Upon subscribing to a paid store plan, if no communication or request for refund or cancellation is initiated by you within 2 months, we reserve the right to cancel your plan. In such cases, any funds earned during this period will be retained by Riveara.
• Upon subscribing to a free store plan, if no communication or cancellation request is initiated by you within 2 months, we reserve the right to cancel your plan. 
• If your store is active and operational but you become unresponsive for 2 months when a response is required from you, we reserve the right to close your store. In such cases, any funds earned up to that point which have not yet been distributed to you will be retained by and allocated to Riveara.
• Unless stated otherwise, you may rejoin Riveara at any time if you are to depart or be departed from it. 

1.6 Subscription Management:

• You can manage your free or paid subscription plan, including upgrades, downgrades, or cancellations, through the Stripe link provided in the email upon subscription. Additionally, the subscription management link will be available in the Discord server's collaboration section, ensuring easy access for plan adjustments.

2. Platform Changes and Service Discontinuation

2.1 Changes to the Platform: We reserve the right to make changes to the Platform, including its features and services, at any time without prior notice. We may also modify the terms of this Agreement. It is your responsibility to review this Agreement periodically for any updates.

2.2 Service Discontinuation: In the event that Riveara decides to shut down the Platform, we will make reasonable efforts to provide you with at least one month's notice, whenever possible, allowing you to seek alternative solutions and export your data from the Platform.

3. No Refunds

3.1 Refunds: All fees paid for the use of the Platform, including store plans, are non-refundable.

4. Dispute Resolution

4.1 Disputes: Any disputes or concerns related to your use of the Platform or this Agreement should be brought to our attention by contacting us at [Hello@Riveara.com]. We will make reasonable efforts to address and resolve your concerns.

5. Miscellaneous

5.1 Entire Agreement: This Agreement constitutes the entire agreement between you and Riveara regarding your use of the Platform and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties.

5.2 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom.

By opening a store on Riveara, you acknowledge that you have read, understood, and agreed to be bound by the terms and conditions of this Brand Store Agreement. If you do not agree with any of the terms outlined in this Agreement, please refrain from using our Platform or creating a store on Riveara.
